1. About SoundBip

SoundBip is payment software developed by Mark Flynn trading as YesAllOfUs, a Guernsey-based technology company. SoundBip provides point-of-sale software that enables merchants to accept payments in RLUSD, a fiat-referenced stablecoin, via the XRP Ledger. SoundBip is functionally analogous to traditional payment terminal software such as Square or SumUp — we provide the software interface only.

SoundBip is not a financial services provider, payment processor, exchange, custodian, or money transmitter. We do not hold, custody, or control user funds at any time. Funds flow directly from customer wallets to vendor wallets on the XRP Ledger — SoundBip never touches or intermediates those funds.

2. Agreement to Terms

By accessing or using SoundBip, you agree to be bound by these Terms of Service. If you do not agree, do not use the software. These terms constitute a legally binding agreement between you and Mark Flynn trading as YesAllOfUs.

3. Eligibility

You must be at least 18 years old to use SoundBip. During the pilot programme, the service is available to Guernsey-based vendors and customers only. You agree to provide accurate information and to use the software only for lawful purposes in compliance with the laws of your jurisdiction.

4. What SoundBip Does and Does Not Do

SoundBip provides:

  • Point-of-sale software for accepting RLUSD payments
  • NFC tap-to-pay and SoundBip audio payment interfaces
  • BIP (Bluetooth Instant Payment) contactless payment
  • QR code and payment link processing
  • Optional SumUp card payment integration (Visa, Mastercard, Apple Pay, Google Pay)
  • Transaction receipt generation and delivery
  • Unified sales reporting across all payment types
  • Optional affiliate commission tracking and distribution software
  • Guardian recovery — account recovery via nominated trusted contacts

SoundBip does not:

  • Exchange virtual assets for fiat currency or between different virtual assets
  • Hold, custody, or safekeep customer or vendor funds
  • Issue, sell, or create virtual assets or stablecoins
  • Operate customer accounts or hold balances on behalf of users
  • Provide financial, investment, tax, or legal advice
  • Perform identity verification (KYC) or business verification (KYB)

5. RLUSD and the XRP Ledger

All payments facilitated through SoundBip are settled in RLUSD, a fiat-referenced stablecoin maintaining a 1:1 peg with the US Dollar. RLUSD is issued by Standard Custody & Trust Company, LLC (a Ripple subsidiary) under regulation by the New York Department of Financial Services (NYDFS). RLUSD is a digital representation of fiat currency.

The XRP Ledger is a public, decentralised blockchain. SoundBip does not operate, control, or have any authority over the XRP Ledger. Network transaction fees (paid in XRP) are an infrastructure cost borne by the platform — customers and vendors transact solely in RLUSD and never hold, trade, or receive XRP through SoundBip.

6. Your Responsibilities

  • Obtaining RLUSD: You are responsible for acquiring RLUSD from a regulated cryptocurrency exchange (such as Bitstamp, Kraken, or Gemini) that performs KYC/KYB verification as a condition of account opening. SoundBip does not sell or distribute RLUSD.
  • Account security: You are solely responsible for the security of your social login account. Your SoundBip account is secured through Web3Auth's non-custodial key management. If you lose access to your social login, your funds cannot be recovered by SoundBip. We recommend keeping only actively-used funds in your account.
  • Compliance: You are responsible for ensuring your use of SoundBip complies with all applicable laws and regulations in your jurisdiction, including tax obligations. The regulated exchanges where you acquire RLUSD have statutory obligations to report to relevant authorities.
  • Transaction accuracy: You are responsible for verifying all payment details before confirming a transaction. Blockchain transactions are irreversible once confirmed.

7. Blockchain Irreversibility

Transactions on the XRP Ledger are final and irreversible once confirmed. SoundBip cannot reverse, cancel, modify, or recover any transaction after it has been submitted to the blockchain. You acknowledge and accept this limitation as inherent to blockchain technology. For refunds or disputes regarding products or services, contact the vendor directly.

8. Non-Custodial Architecture

SoundBip is designed as non-custodial software. Customer wallets are created via Web3Auth, a non-custodial wallet infrastructure provider. Private keys are generated and stored on the user's device using secure enclave technology. SoundBip never has access to, stores, or transmits user private keys.

Where users enable delegated signing (SignerList) for tap-to-pay convenience, this is an on-chain authorisation that the user initiates and can revoke instantly via a single transaction, without requiring SoundBip's permission. The user retains their private key and full independent access to their wallet at all times.

9. Intellectual Property

All content, software, trademarks, and intellectual property within SoundBip are owned by Mark Flynn trading as YesAllOfUs, or its licensors. You may not copy, modify, reverse-engineer, or distribute any part of the software without prior written consent.

10. Disclaimers

SoundBip is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

SoundBip does not guarantee: uninterrupted or error-free operation of the software; the value, stability, or availability of RLUSD or the XRP Ledger; the performance, reliability, or availability of any third-party service (including Web3Auth, regulated exchanges, or the XRP Ledger network); the quality, safety, or legality of products or services sold by vendors using SoundBip.

SoundBip does not provide financial advice. Nothing in this software or its documentation should be construed as financial, investment, tax, or legal advice. You should consult qualified professionals for advice specific to your circumstances.

11. Limitation of Liability

To the fullest extent permitted by the laws of Guernsey, Mark Flynn trading as YesAllOfUs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of SoundBip, including but not limited to loss of funds, loss of data, loss of profits, loss of wallet access, or any damages arising from blockchain transactions, third-party service failures, or stablecoin value fluctuations.

12. Termination

We may suspend or terminate your access to SoundBip at any time for breach of these terms, illegal activity, or at our discretion. Upon termination, your funds remain in your own wallet and are fully accessible to you — SoundBip does not hold or control your assets. You may stop using SoundBip at any time by simply ceasing to use the software.

13. Changes to Terms

We may update these Terms of Service from time to time. Material changes will be communicated via the platform or email where possible. Continued use of SoundBip after changes take effect constitutes acceptance of the updated terms.

14. SumUp Card Payment Integration

SoundBip offers an optional integration with SumUp for card payments (Visa, Mastercard, Apple Pay, Google Pay). When using this feature:

  • Card payments are processed by SumUp Limited, not by SoundBip. SumUp is a regulated payment institution authorised by the Financial Conduct Authority (FCA).
  • SoundBip charges a 0.25% POS service fee on SumUp transactions, in addition to SumUp's own card processing fees.
  • Your use of SumUp card payments is subject to SumUp's own Terms of Service and Privacy Policy.
  • SoundBip is not responsible for SumUp's service availability, fees, or disputes arising from card transactions processed by SumUp.

15. Guardian Recovery

SoundBip offers an optional account recovery feature ("Guardian Recovery") that allows you to nominate up to three trusted contacts ("guardians") who can collectively authorise the recovery of your account if you lose access. You are responsible for choosing guardians you trust. SoundBip does not verify the identity or relationship of guardians. Recovery requires approval from a majority of your nominated guardians. SoundBip is not liable for any loss arising from guardian recovery being used without your knowledge or consent.

16. Force Majeure

SoundBip shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: natural disasters, pandemic, war, terrorism, civil unrest, government action, power failure, internet or telecommunications failure, blockchain network congestion or outage, third-party service provider failures, or cyberattack. During such events, SoundBip's obligations shall be suspended for the duration of the force majeure event.

17. Governing Law & Jurisdiction

These terms are governed by and construed in accordance with the laws of the Bailiwick of Guernsey. Any disputes arising from or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Guernsey.
